Terms and Conditions – Business Customers (B2B)

1. Applicability

1.1 These general terms and conditions apply to all offers, quotations, agreements and deliveries of goods and services by Birthpools to business customers.

1.2 Deviations from these terms are only valid if agreed upon in writing.

2. Offers and Agreements

2.1 All offers from Birthpools are non-binding unless expressly stated otherwise.

2.2 An agreement is established upon written confirmation by Birthpools or when Birthpools begins execution of the delivery.

3. Prices and Payment

3.1 All prices are exclusive of VAT and other government-imposed taxes.

3.2 Unless otherwise agreed, payment must be made within 14 days of the invoice date.

3.3 If the payment term is exceeded, the customer is in default by operation of law and statutory commercial interest is due.

4. Delivery and Risk Transfer

4.1 Delivery is ex warehouse unless otherwise agreed.

4.2 The risk of loss or damage passes to the customer at the moment of delivery.

5. Retention of Title

5.1 All delivered goods remain the property of Birthpools until the customer has fulfilled all payment obligations in full.

6. Complaints and Warranty

6.1 The customer is obliged to check the delivered goods immediately upon receipt.

6.2 Complaints must be submitted in writing within 5 working days after delivery.

6.3 Birthpools products carry a factory warranty of 12 months unless otherwise stated.

7. Liability

7.1 Birthpools is only liable for direct damage resulting from intent or gross negligence.

7.2 Birthpools is not liable for consequential damage, such as loss of profit or business interruption.

8. Force Majeure

8.1 In the event of force majeure, Birthpools is entitled to suspend delivery or dissolve the agreement without being liable for compensation.

9. Applicable Law and Disputes

9.1 All agreements are governed exclusively by Dutch law.

9.2 Disputes will be submitted exclusively to the competent court in the district where Birthpools is established.
